Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Snack Software ("Company," "we," "us," or "our") governing your access to and use of the Deckiru application, website, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 13 years old (or the applicable age of consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials.
  • Immediately notify us of any unauthorized access to your account.
  • Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for extended periods, or for any other reason at our sole discretion.

4. License and Service Access

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes. This license does not include:

  • Any resale or commercial use of the Service.
  • Modification, reproduction, distribution, or public display of Service content.
  • Reverse engineering, decompiling, or disassembling any part of the Service.
  • Use of data mining, robots, or similar data gathering tools.
  • Circumventing any technical measures designed to protect the Service.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of content you create ("User Content"), including flashcard decks, cards, notes, and uploaded media. By submitting User Content, you grant us a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, distribute, and display such content in connection with operating and providing the Service.

5.2 Public Library Content

If you choose to make your content public in the Library feature, you grant other users a license to view, study, and import such content. You acknowledge that public content may be used by others and cannot be fully recalled once shared.

5.3 Content Representations

You represent and warrant that: (a) you have all necessary rights to your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content complies with all applicable laws.

5.4 Our Intellectual Property

The Service, including all software, design, text, graphics, interfaces, algorithms (including FSRS implementation), and other content, is owned by or licensed to the Company and protected by intellectual property laws. Nothing in these Terms grants you any right to use the Company's trademarks, logos, or branding.

6. AI-Generated Content

The Service includes AI-powered features for generating flashcard content. Regarding AI-generated content:

  • AI-generated content is provided "AS IS" and may contain errors, inaccuracies, or inappropriate material.
  • YOU ARE SOLELY RESPONSIBLE for reviewing, verifying, and editing all AI-generated content before use.
  • We make no representations or warranties regarding the accuracy, completeness, reliability, or appropriateness of AI-generated content.
  • AI features are subject to third-party provider availability and terms. We are not liable for any AI provider downtime, limitations, or changes.
  • We reserve the right to limit, modify, or discontinue AI features at any time without notice.

7. Prohibited Conduct

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Upload material containing viruses, malware, or harmful code.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Engage in any activity that interferes with or disrupts the Service.
  • Attempt to gain unauthorized access to any part of the Service.
  • Use the Service to send spam, chain letters, or unauthorized advertising.
  • Scrape, harvest, or collect data from the Service without permission.
  • Use automated systems to access the Service in a manner that exceeds reasonable use.
  • Infringe upon intellectual property rights of others.

We reserve the right to remove any content and terminate accounts for violations without prior notice.

8. Import and Export Features

The Service allows importing flashcard content from third-party platforms (e.g., Anki, Quizlet). You represent that you have the right to import such content and that importing does not violate any third-party terms of service or intellectual property rights. We are not responsible for any third-party claims arising from imported content.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY CONTENT WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS WILL BE CORRECTED.

THE SERVICE IS NOT INTENDED TO PROVIDE PROFESSIONAL, MEDICAL, LEGAL, OR OTHER SPECIALIZED ADVICE. ANY RELIANCE ON THE SERVICE IS SOLELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any dispute between you and any third party.

12. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS.

Informal Resolution: Before initiating arbitration, you agree to first contact us and attempt to resolve any dispute informally for at least 30 days.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease.
  • We may delete your account and all associated data without liability.
  • Provisions that by their nature should survive termination will survive (including ownership, warranty disclaimers, indemnification, and limitations of liability).

You may terminate your account at any time by discontinuing use of the Service. We are not obligated to retain or return your data upon termination.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
  • Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control.
  • Interpretation: The headings in these Terms are for convenience only and shall not affect interpretation.
